The SPAC planning to merge with former President Donald Trump’s new social media company revealed Monday that the Securities and Exchange Commission and another regulator asked it for information regarding stock trading and communications with Trump’s firm before the deal was announced. The investigations by the SEC and the Financial Industry Regulatory Authority were disclosed in an 8-K filing with the SEC by Digital World Acquisition Corp., the special purpose acquisition company on track to merge with Trump Media & Technology Group.

These two firms had private discussions. Then they decided to merge. At what point must the gov't be involved? Can't business people talk anymore? And, what is the "crime" in publicizing the fact that the gov't is sticking its nose in?

Don't get too excited. The SEC and FINRA routinely investigate nearly every merger, material news announcement and capital raising initiative and many other events involving public companies, trying to determine whether there had been any insider trading, tipping by insiders and the like prior to the public announcement. This is standard procedure. CNBC thinks because it's occurring with respect to the Trump SPAC that they can get eyes on the story to boost readership numbers. In all likelihood, like the vast majority of these investigations, it goes no where. Every once in a while they find an insider trading violator. The SEC and FINRA employ sophisticated methods to detect such violators. In general, unless there was tipping by an insider, the public company subject to the probe is an innocent bystander.
